End User License Agreement

About This Agreement

This End User License Agreement ("Agreement") is between you ("User") and PRIMEDROP LLC, doing business as Dueflo ("Licensor"), governing your use of the Dueflo software and service. Dueflo automates accounts receivable collection for small businesses by sending AI-generated follow-up emails to their clients.

By accessing or using Dueflo, you agree to the terms of this Agreement. If you do not agree, do not use the service.

License Grant

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable license to access and use Dueflo for your internal business purposes.

This license does not permit you to:

• Reverse engineer, decompile, or disassemble any part of the software
• Copy, modify, or create derivative works based on the service
• Redistribute, sublicense, sell, or transfer access to any third party without written consent
• Use the service to send unsolicited commercial email or spam
• Use the service for any unlawful purpose or in violation of any applicable laws

Subscription and Payment

Access to Dueflo requires a paid subscription after the 14-day free trial period. Subscriptions are billed monthly and renew automatically unless cancelled. All payments are processed by Stripe. By providing payment information, you authorize recurring charges.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

Your Data and Content

You retain all ownership rights to your business data, including invoice and customer information synced from QuickBooks. By using Dueflo, you grant us a limited license to access and process this data solely to provide the service.

The Licensor may access your downloaded Licensed Application content and personal information as described in our Privacy Notice, to the extent necessary to provide and improve the service.

You are responsible for ensuring you have the right to send collection communications to your clients under applicable laws, including the Fair Debt Collection Practices Act (FDCPA) where applicable.

Warranties

Licensor warrants that the service is free of malware and will function substantially as described in the documentation. Licensor does not warrant that the service will be uninterrupted, error-free, or that any defects will be corrected.

You must report any defects or issues within 30 days of discovery by contacting our support team.

THE SERVICE IS PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Licensor's total liability for any claim arising from this Agreement shall not exceed the amounts paid by you to Licensor in the three months preceding the claim.

Termination

Either party may terminate this Agreement at any time. Licensor may suspend or terminate your access if you violate these terms. Upon termination, your license to use the service ends immediately. You may request export of your data within 30 days of termination.

Governing Law

This Agreement is governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Wyoming.

Changes to This Agreement

We may update this Agreement from time to time. We will notify you of material changes by email or through the service. Continued use of Dueflo after changes take effect constitutes acceptance of the updated terms.
